Terms and conditions of use

1. Purpose of the GCU

These TOS govern access to the Application and use of the Services by any User.

1. Definitions

Les termes commençant par une majuscule dans les présentes CGU ont le sens qui leur est donné ci- après, étant précisé que les termes définis au singulier doivent également s’entendre au pluriel et vice-versa :

Acompte : désigne un acompte au sens de l’article L. 3242-1 du Code du travail et, le cas échéant, de toute convention collective applicable.

Acompte Disponible : désigne les montants nets minimal et maximal estimés de l’acompte disponible à la Date de Consultation, exprimés en euros dans l’Espace Personnel de l’Utilisateur.

Acompte Indu : désigne la rémunération versée indument à un Utilisateur Effectif, impliquant que les conditions suivantes soient réunies :

•  l’Utilisateur Effectif a formulé une demande d’Acompte ;

•  l’Employeur, quelle qu’en soit la raison, n’était pas tenu de faire droit (en tout ou partie) accepter cette demande d’Acompte (par exemple parce que le montant demandé était trop important par rapport au salaire effectivement gagné à cette date) ;

•  Stairwage a procédé au Versement de l’Acompte en vertu du mandat donné à cet effet par le Client, dans les conditions prévues par les Articles 3.1.3 et 4.1.1 de la Convention.

Application : désigne l’application Stairwage, éditée et exploitée par la société Stairwage.

CGU : désigne les présentes conditions générales d’utilisation, en ce compris son annexe relative à la Politique de Confidentialité de Stairwage.

Contrat de Travail : désigne un contrat de travail instaurant une rémunération mensuelle au sens de l’article L. 3242-1 du Code du travail.

Date de Consultation : désigne le jour au cours duquel un Utilisateur consulte l’Acompte Disponible et/ou effectue une demande d’Acompte.

Date de Versement : désigne, la date de l’ordre portant sur le versement effectif d’un Acompte sur le compte bancaire d’un Utilisateur. Il est précisé que la date à laquelle les fonds seront disponibles sur le compte bancaire du destinataire dépend du délai de traitement du virement par les banques émettrice et destinataire.

Données Personnelles : désigne toute information se rapportant à l’Utilisateur au sens de l’article 4.1) du RGPD.

Employeur : désigne la personne morale agissant en tant qu’employeur de l’Utilisateur au titre d’un Contrat de Travail et ayant conclu, préalablement à l’inscription de l’Utilisateur à l’Application, une convention-cadre avec Stairwage déterminant, chacun pour ce qui les concerne, les termes et conditions applicables à l’Application et aux Services.

Espace Personnel : désigne l’interface individualisée sécurisée de l’Application permettant à l’Utilisateur d’accéder aux Services et dont l’accès nécessite une authentification.

Estimation de la Paie : désigne le montant net estimé de la rémunération due par l’Employeur à un Utilisateur au terme de la Période de Référence, exprimé en euros dans l’Espace Personnel de l’Utilisateur concerné.

Période de Référence : désigne, au sens de l’article L. 3242-1 du Code du travail, le mois en cours aux fins du paiement mensuel de la rémunération due par l’Employeur à l’Utilisateur, le cas échéant pro rata temporis.

Politique de Confidentialité : désigne la Politique de Confidentialité de Stairwage en matière de Données Personnelles, annexée aux présentes CGU.

Services : désigne l’ensemble des services suivants, fournis par Stairwage aux Utilisateurs au travers de l’Espace Personnel :

•  consulter l’Estimation de la Paie disponible au dernier jour de la Période de Référence ;

•  consulter de l’Acompte Disponible à la Date de Consultation ;

•  formuler une demande d’Acompte correspondant au montant du choix de l’Utilisateur, dans les limites de l’Acompte Disponible à la Date de Consultation ;

•  consulter l’historique des Acomptes dont la demande a été effectuée ainsi que le traitement correspondant (accepté ou refusé).

Subrogation Conventionnelle : désigne la subrogation conventionnelle opérée à l’initiative du créancier au sens des articles 1346-1 et suivants du Code civil.

RGPD : désigne le règlement (UE) 2016/679 du Parlement européen et du Conseil du 27 avril 2016 relatif à la protection des personnes physiques à l'égard du traitement des données à caractère personnel et à la libre circulation de ces données.

Stairwage : désigne la société Stairwage, société par actions simplifiée au capital social de 100.000 euros, dont le siège social est situé 111, rue de Courcelles, 75017 Paris, immatriculée au registre du commerce et des sociétés de Paris sous le numéro 880 699 913.

Utilisateur : désigne toute personne physique remplissant les conditions cumulatives suivantes :

•  elle est titulaire d’un Contrat de Travail qui la lie à l’Employeur à la date de son inscription à l’Application ;

•  elle s’est inscrite à l’Application conformément à l’Article 5 des CGU ;

•  le cas échéant, elle n’a pas résilié les CGU ou n’est pas l’auteur d’un manquement ayant entraîné la résiliation des CGU par Stairwage.

Versement de l’Acompte : désigne le virement de fonds directement par Stairwage vers le compte bancaire de l’Utilisateur (en lieu et place du versement d’un Acompte à l’Utilisateur Effectif par l’Employeur), entraînant le consentement exprès de l’Utilisateur, en tant que créancier, aux fins de la Subrogation Conventionnelle de Stairwage, en tant que tiers payeur, dans ses droits résultant de la demande d’Acompte à l’encontre de l’Employeur, en tant que débiteur, à charge pour ce dernier de restituer à Stairwage le montant résultant du Versement de l’Acompte.

3. Acceptance of the T&Cs

The User accepts these GTC without reservation.

The User's consent is expressed when he/she clicks on the box provided for this purpose during his/her registration on the Application. Otherwise, no access to the Personal Space and no use of the Services is authorised.

Stairwage reserves the right to modify the GCU at any time under the conditions set out in Article 11.1 of the GCU.

4. Description of the Personal Space and Services

The Personal Area and the Services are made available to (or provided to) the User by Stairwage and not by the Employer.

In this context, Stairwage and the Employer have concluded a framework agreement which determines, each for what concerns them, the terms and conditions applicable to the Application and the Services.

The User's registration to the Application and the use of the Personal Space and the Services shall in no way characterise an employment relationship between the User and Stairwage.

The Services provided to the User through the Personal Space are listed exhaustively in Article 4.2 of the GCU.

4.1. Description of the Personal Space

The Personal Space is strictly personal and dedicated to the User, who undertakes to use it in accordance with the commitments set out in Article 6.2 of the GCU.

It can only be accessed via the Application and can be consulted at any time by the User after he/she has logged in using his/her login and password, subject to the circumstances provided for in Article 7.2 of the GCU.

Access to and use of the Personal Space by the User is free of charge.

4.2. Description of the Services

The Personal Space made available to the User by Stairwage allows him/her to:

- to consult the Payroll Estimate as at the last day of the Reference Period;

- to consult the amount of the Down Payment Available at the Consultation Date;

- to formulate a request for a Down Payment corresponding to the amount of his choice, within the limits of the Down Payment Available at the Consultation Date;

- to consult the history of the Down Payment requests processed by Stairwage as well as the current status of their processing (accepted or refused);

hereinafter the "Services".

The Services provided to the User are free of charge.

4.3. Request(s) for Down Payment

4.3.1. Validated down payment requests

When the User makes a request for a Deposit, if the request is approved by Stairwage, it shall be subject to:

- a Deposit Payment, made directly by Stairwage to the User's bank account;

- a payment by the Employer.

The User is then informed of the Estimated Payment Date.

For all intents and purposes, it is specified that the User is not free to choose the person in charge of the payment made in respect of his/her request for a Deposit.

4.3.1. Rejected applications for a down payment

If the request for a down payment is refused, the User will not receive any transfer in respect of this request.

5. Registration on the Application

The User must download the Application onto his/her mobile phone. Once the Application is downloaded and opened, the following information is requested:

- Link (URL) previously received by the User;

- User's first and last name;

- User's email address, mobile phone number and postal address.

The User's identity and contact details are verified by entering codes sent to him/her by Stairwage or given to him/her by the Employer.

The User also chooses a secret code which will be asked to verify his identity before he can access the Application.

Once these steps are completed, he can then connect to his Personal Space.

6. Declarations and commitments of the User

6.1. Declarations by the User

The User declares and acknowledges at all times during the term of the GTU:

- to have read, understood and accepted these GTC without reservation;

- to accept that a Deposit requested and validated by Stairwage may be paid, as the case may be, by the Employer or directly by Stairwage, the latter benefiting in this case, as a third party payer, from a Conventional Subrogation in the User's rights resulting from the Deposit request against the Employer;

- Being solely responsible for the use of the Personal Space and the Services, Stairwage not providing any warning (or any other advice of a financial nature) to the User as to the use of the sums corresponding to the Available Deposit and/or the Payroll Estimate;

- to be solely responsible for the continuing validity of information (and, where applicable, notification of any changes thereto) provided to the Employer and Stairwage which may in turn affect the performance of these T&Cs and the provision of the Services, including, without limitation, the identification of the bank account provided by the User for the purposes of payment of any Instalment requested;

- Being solely responsible for the accuracy of the information transmitted in the context of his/her declaratory obligations to the tax authorities that may have an impact on the amount of the Available Deposit and/or the Payroll Estimate, including in particular the income tax return and/or any other declaration relating to the levy within the meaning of Article 204 A of the French General Tax Code;

- Be solely responsible for obtaining and securing the personal equipment necessary to register on the Application, connect to the Personal Space and use the Services, including the use of a secure internet connection and a mobile phone compatible with the technical parameters of the Application;

- Understand that access to the Personal Space and the use of the Services may be temporarily impossible in the event of technical or computer malfunctions, or in the event of force majeure, which is defined as any unforeseeable and irresistible event whose origin is external to Stairwage;

- Understand that the information provided to the User through the Personal Space, including in particular the Available Deposit and/or the Payroll Estimate, does not constitute a guarantee of payment of a Deposit, such payment being subject to prior validation by Stairwage, according to the data transmitted by the Employer under the latter's responsibility;

- Understand that any obvious error in the Available Deposit reported to Stairwage may result in checks leading to a delay in the Payment Date, it being understood that Stairwage shall not be liable for any detrimental consequences arising from any delay in the Payment Date, provided that Stairwage has validly performed its obligations under these GTCs and the Framework Agreement entered into with the Employer.

Without the need for the User to declare it, it is hereby clarified that the User is free to request services substantially similar to the Services and in particular to request a Deposit from the Employer by any means other than the Application, which does not require any exclusivity from the User.

6.2. Commitments of the User

Without prejudice to any other obligation set out in these TOS, the User undertakes:

- to comply with the laws and regulations in force and to act in good faith in their use of the Application, and in particular to refrain from any practice that misuses the Personal Space and the Services for purposes other than those for which they are made available or provided to the User;

- to provide accurate and complete information when registering for the Application and to update it as necessary, for which he/she is solely responsible;

- to notify the Employer without delay, and in any event before any request for a Deposit is made, of any change in the bank account indicated for the purposes of paying any Deposit;

- to make strictly personal use of the Personal Space and the Services, in particular by prohibiting any access to and/or use of the latter by third parties and by taking all reasonable precautions to ensure and maintain the confidentiality and security of his secret code, which he may change at any time in his Personal Space;

- to notify Stairwage without delay of any obvious error in the Pay Estimate and/or the Available Deposit, in particular through the Personal Space, the latter being responsible for contacting the Employer in order to verify the accuracy, if any, of the Pay Estimate or the Available Deposit;

- to return to the Employer, at the Employer's first request, any Undue Deposit.

7. Responsibilities of the User and Stairwage

7.1. Responsibility of the User

The User is responsible for all the commitments set out in Article 6 of these GTU. Stairwage shall not be liable for any breach by the User of any of the said obligations.

In the event of a breach of any of the provisions of these GTC, including the aforementioned undertakings, or more generally, a breach of the laws and regulations in force by a User, Stairwage reserves the right to take any appropriate measure, and in particular:

- to temporarily suspend access to the Application by the User responsible for the breach;

- to unilaterally terminate the GTC; and/or

- to initiate any legal action.

7.2. Responsibility of Stairwage

Stairwage undertakes to use its best efforts to ensure the proper functioning of the Application, including access to the Personal Space and the use of the Services by the User.

In the event of technical, computer and/or other malfunctions, Stairwage undertakes to carry out or have carried out the necessary maintenance work in order to re-establish the proper functioning of the Application within a reasonable time.

Stairwage declines all responsibility for:

- the loss, delay or error in the transmission of data or information which is beyond its control, in particular due to the occurrence of technical and/or computer malfunctions, and more generally for any total or partial non-performance of these GCU resulting from a case of force majeure;

- the provision to the User of inaccurate or incomplete information, including in particular the Available Deposit, the Pay Estimate, the estimated Payment Date, and any prejudicial consequences arising therefrom for the User, where the information received from the Employer by Stairwage under the framework agreement concluded by the latter is not itself accurate or complete;

- any consequences to the User resulting from the inaccuracy of information provided by the User to Stairwage when registering on the Application;

- any prejudicial consequences for the User resulting from the inaccuracy of information provided by the User to the Employer that may have an impact on the execution of these GTC, including in particular the identification of the bank account indicated by the User to the Employer for the purpose of paying any Deposit;

- the return of an Unduplicated Deposit and all the prejudicial consequences thereof for the User, where Stairwage has not committed any fault directly or indirectly causing the Unduplicated Deposit;

- Stairwage's refusal to validate a User's request for a Deposit, where the conditions for validating such a request for a Deposit are not met;

- Stairwage's refusal to make a Payment on Account, with the Employer, if the request has been validated by Stairwage, being responsible for paying the amount of the Payment on Account to the User;

- The Employer's refusal to validate a request for a Payment on Account or to pay a Payment on Account to the User, whatever the reason.

8. Intellectual Property

The systems, software, structures, infrastructures and content of any kind (texts, images, music, logos, etc.) used by Stairwage via the Application are the exclusive property of Stairwage and are protected by all intellectual property rights in force.

All disassembling, decompiling, decrypting, extracting, reusing, copying and, more generally, all acts of reproduction, representation, distribution and use of any of these elements, in whole or in part, not provided for in the GTCU, without the authorisation of Stairwage, are strictly prohibited and may be subject to legal proceedings.

9. Personal Data

9.1. Protection of personal data

As data controller and/or subcontractor of the Employer, Stairwage shall comply with the regulations in force concerning the protection of personal data, namely the French Data Protection Act (Law 78-17 of 6 January 1978 as amended) and the EU Regulation 2016/679 of the European Parliament and of the Council on the protection of individuals with regard to the processing of personal data and on the free movement of such data (or "RGPD").

The User acknowledges that he/she has read and accepted the Privacy Policy annexed to these GTCs, which has been designed to enable him/her to know his/her rights with regard to Personal Data and to exercise them if necessary.

9.2 Purpose of processing

Users' Personal Data collected in the forms on the Application are processed by Stairwage, as a subcontractor of the Employer, for the following purposes:

- to enable employers to offer their employees flexible salary management;

- to enable employees to make requests for monthly salary instalments; and

- to provide real-time salary monitoring. This will enable an estimate of the amount of down payment that can be made.

Similarly, Stairwage will act as a data controller for the following purposes: Stairwage processes Personal Data as a data controller for the following purposes:

- to enable Users to use the Application and provide them with the Services;

- to communicate effectively with the User: to conduct its business, including answering Users' questions, and to communicate with Users by any means; and

- to reorganise or make changes related to Stairwage's business.

9.3. Legal basis

By validating the access to the Application, the User accepts that the Personal Data collected during the creation of the account will be processed by Stairwage, as controller and/or subcontractor of the Employer, in order to:

- consult the Payroll Estimate available on the last day of the Reference Period;

- consult the Advance Payment Available on the Consultation Date;

- formulate a request for an Advance Payment corresponding to the amount of the User's choice, within the limits of the Advance Payment Available on the Consultation Date; and

- consult the history of the Advance Payments for which the request has been made as well as the corresponding processing (accepted or refused).

These Data may also be processed either by Stairwage or by its subcontractors for the purpose of analysing the proper functioning of the Application or for hosting purposes.

All information or data sent by the User to the Application by e-mail or by any other means will be processed under the same conditions.

9.4. Data collected

Personal Data that may be collected as part of the Services (i.e. as a subcontractor of the Employer):

- First name; Last name; Employer's identity; Unique identifier; Date of employment; Date of end of Employment Contract; IBAN; Contact details (postal addresses, email addresses, telephone numbers); Personal and professional; Available deposits, Payroll Estimate; Request for deposit; Deposit received.

- Any correspondence between the User and Stairwage: in the event of an exchange between a User and Stairwage, Stairwage will keep a record of the correspondence(s).

- Data relating to the Application, and the use of the connection to the Application. This data includes connection logs and details of visits to the Application as well as information collected through tracking technologies including but not limited to IP address, operating system version, traffic data, location data, etc.

Personal Data that may be collected as part of the Services (i.e. directly entered by the User via the Application):

- Employee's first and last name;
- Employee's email address;
- Employee's mobile phone number; and
- Employee's postal address.

9.5. Duration of data retention

Stairwage retains Personal Data for as long as necessary for the purposes for which the Personal Data was collected and for any other permitted related purposes.

After this period, it will be deleted within a maximum of one month. However, in order to meet the legal obligations of the Employer and/or Stairwage, the data may be kept in an archive database for 10 years. This data may be consulted on an ad hoc basis by specifically authorised persons.

Stairwage ensures the confidentiality of the Personal Data posted or collected on the Application, through security features and authorisations to access the portal to meet its legal obligations.

9.6. Recipient of the data

This Personal Data may be transmitted or made accessible to service providers and subcontractors carrying out on behalf of Stairwage, certain technical or material tasks that are essential to implement the processing described in these GTC.

The Personal Data thus transmitted may, in the course of various operations, be transferred to a country within or outside the European Union. In the event of a transfer to a country outside the European Union, "Standard Contractual Clauses" drawn up by the European Commission have been signed by Stairwage (or are in the process of being signed, if applicable).

9.7. Rights of the User

The User may exercise his/her right to access, modify, rectify, oppose, delete and limit his/her personal data by sending a request by clicking on the "Need help? Contact us" section available on the Application. The User may assert his right to portability by the same procedure

. The User may also transmit to Stairwage his wish to delete his account by clicking on the "Deactivate my account" section available on the Application. The User may update the information contained in his profile at any time on his Personal Space.

In the event that a User is not satisfied with the use made of his Personal Data or with Stairwage's response to the exercise of one of his rights, he has the right to lodge a complaint with the Commission Nationale de l'Informatique et des Libertés (CNIL) either directly online on the CNIL website: www.cnil.fr or by post by writing to the following address CNIL, 3 Place de Fontenoy, TSA 80715, 75334 PARIS CEDEX 07.

10. Modification of the TOS - Termination

10.1. Modification of the GCU

The User's refusal to apply the modified GTC shall result in the automatic termination of the GTC and the impossibility of accessing the Personal Space and the Services.

Stairwage reserves the right to modify the GTC at any time. In this case, the User will be invited to read the modified GTC and to give his consent when he first connects to the Personal Space after the modification of the GTC.

10.2. Termination of the TOU

Stairwage may terminate the TOS at any time subject to fifteen (15) calendar days' notice.

The TOS shall automatically terminate after fifteen (15) calendar days from the date on which the User ceases to satisfy any of the conditions for being a User hereunder. Stairwage may also terminate the TOS without notice in the event of a breach of the TOS by the User. The User may terminate the TOS at any time.

11. Language - Applicable law - Jurisdiction

The language used by Stairwage and the User in the context of these GTC is French. These GTC are governed by French law.

For any dispute arising between the Parties in connection with the performance or interpretation of these GTC, the Parties shall endeavour to resolve their dispute amicably.

The User may, prior to any litigation, initiate a mediation procedure by accessing the European platform for online dispute resolution at the following address: http://ec.europa.eu/odr in order to attempt an amicable resolution.

If an amicable solution is not reached within two (2) months of the dispute being notified. Failing this, any dispute will fall under the exclusive jurisdiction of the competent French courts. If the dispute is between two professionals, any dispute shall be subject to the exclusive jurisdiction of the Commercial Court of Paris.

12. Legal notice

The Application is published and operated by Stairwage.
